These Terms of Agreement (the "Terms") form a legally binding agreement between you ("you" or "User") and CodeLoop LLC ("CodeLoop", "we", "our", or "us") regarding your use of our iOS, iPadOS, macOS, watchOS, and tvOS applications (collectively, the "Apps") and any related content or services that we provide through the Apple App Store or other Apple platforms (collectively, the "Services").
By downloading, installing, accessing, or using any of our Apps or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms as well as the applicable Apple Media Services Terms and Conditions. If you do not agree, you may not use our Apps or Services.
1. Relationship with Apple
Our Apps are distributed via the Apple App Store. You acknowledge that these Terms are between you and CodeLoop LLC, and not with Apple Inc. ("Apple"). CodeLoop LLC, not Apple, is solely responsible for the Apps and their content, except to the extent specified otherwise in Apple’s guidelines and applicable policies.
Apple may, however, be a third-party beneficiary of these Terms and may have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary where applicable.
2. License
Subject to your continued compliance with these Terms and the Apple Media Services Terms and Conditions, CodeLoop LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use each App on any Apple-branded device that you own or control, as permitted by the usage rules set forth in the App Store Terms and Conditions.
3. User Obligations and Acceptable Use
You agree that you will not:
- Copy, modify, reverse engineer, decompile, or disassemble the Apps, except as permitted by applicable law.
- Use the Apps for any unlawful or unauthorized purpose, or in a way that violates any applicable laws or regulations.
- Infringe or violate the intellectual property or other rights of CodeLoop LLC, Apple, or any third party.
- Attempt to circumvent security features or interfere with the normal operation of the Apps or Services.
4. Purchases, Billing, and Refund Policy (Apple App Store)
All purchases, subscriptions, in-app purchases, and any other paid features within our Apps are processed exclusively by Apple via the Apple App Store using your Apple ID. CodeLoop LLC does not process or store your payment information.
Refunds: In accordance with Apple’s rules and policies, any and all refund requests for purchases made in our Apps are handled exclusively by Apple via the Apple App Store. CodeLoop LLC is not able to issue, process, approve, or deny refunds directly. If you would like to request a refund, please follow Apple’s official refund process (for example, via reportaproblem.apple.com or through your Apple ID account settings) and consult the applicable Apple Media Services Terms and Conditions and App Store policies.
5. Intellectual Property
All content in the Apps and Services, including but not limited to software, graphics, user interfaces, visual design, logos, and trademarks, is owned by or licensed to CodeLoop LLC and is protected by copyright, trademark, and other intellectual property laws. You receive no rights or licenses in such content except as expressly provided in these Terms.
6. Third-Party Services
The Apps may interact with third-party services or content provided by Apple or other parties. Your use of any third-party service is subject to that third party’s own terms and privacy policy. CodeLoop LLC is not responsible for and does not control third-party services.
7. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Apps and Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall CodeLoop LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Apps or Services; or
- Any content or conduct of any third party, including Apple or other platform providers.
9. Termination
We may suspend or terminate your access to our Apps or Services at any time if we reasonably believe you have violated these Terms or applicable law. You may stop using the Apps at any time by uninstalling them from your devices.
10. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Apps, Services, or legal requirements. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Apps or Services after any changes become effective constitutes your acceptance of the revised Terms.
